THE CHALLENGE
The boards of listed Italian companies following the Corporate Governance Code must periodically self-assess how they function. Legislative Decree 231/2001, the Italian law that introduced corporate criminal liability and requires companies to adopt a formal Organisational Model and Supervisory Body, added another layer of urgency. Diasorin needed a solution that met its Decree 231 requirements while fixing other parts of the legal operation that had been left behind.
The tool they had was essentially an email system. Documents weren’t organized by agenda item. Nobody could tell whether materials had actually been read.
The consequences were clear:
Managing governance for a listed multinational with a lean team means process improvement is constant work, not a periodic exercise. The combination of manual effort, confidentiality requirements, and growing expectations from internal stakeholders made one thing clear: something had to change.
THE SOLUTION
A platform built for governance, and regulation ready
Diasorin’s legal team already knew DiliTrust. Several members had introduced Board Portal in previous roles and had good experiences with it.
The Board Portal was rolled out across all of Diasorin’s governance bodies, using its modular architecture to cover growing needs without adding complexity. Three environments were set up:
Board of Directors and internal committees: centralised, secure, and fully traceable management.
Board of Statutory Auditors: a structured repository for issued opinions, non-audit authorisations, and information flows from Internal Audit.
Supervisory Bodies: dedicated to overseeing the Organisational Model under Legislative Decree 231/2001.
Diasorin also spotted a broader application. Decree 231 is one part of a larger Internal Control and Risk Management System (“SCIGR”) that has come under renewed scrutiny following recent reforms to the Consolidated Financial Act. Listed companies must establish structured information flows between corporate bodies and key business functions to support risk monitoring and integrated compliance.
To manage that, Diasorin strategically used DiliTrust’s Board Portal to define who sends what to whom, scheduling deadlines, sending automated reminders, and archiving everything in one traceable repository. The design phase is complete; implementation starts shortly.
THE RESULTS
Five governance bodies. One platform. A lot less paper.
The results are visible: less time on administrative tasks, more time for higher-value work. The numbers tell most of the story, but the operational reality behind them is equally significant.
When asked what advice they’d give colleagues considering a similar move, Diasorin’s legal team points to the Board Portal’s ease of use and efficiency. The team runs periodic benchmarks against competitors, but most alternatives to the Board Portal turned out to be too rigid, too complex, or built for a different kind of organization.
